Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into by and between:

ParaWheel, a platform owned and operated by KK Surveys & Strategies Pvt Ltd, having its registered office at Telangana (hereinafter referred to as the "Disclosing Party" or "Company"),

The User who accesses, purchases, or uses the ParaWheel website, reports, or services (hereinafter referred to as the "Receiving Party" or "User").

1. Purpose

This Agreement aims to prevent the unauthorized use or disclosure of Confidential Information provided through the ParaWheel platform, including but not limited to proprietary reports, dashboards, and research insights.

2. Definition of Confidential Information

"Confidential Information" refers to any data, materials, visualizations, reports, strategies, or features made accessible to the User via the ParaWheel platform or as part of any purchased product. This includes:

• Survey reports (full or partial)
• Data visualizations or charts
• Election models or political intelligence
• Internal metrics or platform outputs
• Beta or unreleased content

3. User Obligations

The User agrees to the following:

• Not to share, forward, distribute, republish, or publish any part of the report or platform content, whether paid or unpaid.
• Not to take screenshots, screen recordings, or extracts of any report or dashboard element without written permission from ParaWheel.
• Not to disclose or display the purchased content to third parties, competitors, or media outlets.
• To use the report exclusively for internal, private analysis and not for public dissemination or advisory services unless licensed.

4. Exclusions from Confidential Information

This Agreement does not apply to information that:

• Is or becomes publicly available through no fault of the User;
• Is lawfully obtained from another source without breach;
• Is independently developed without access to ParaWheel's platform.

5. Term

This Agreement and the User's obligation to maintain confidentiality shall remain in effect perpetually. The duty of non-disclosure does not expire unless the Company explicitly revokes it in writing.

6. Legal Remedies

Breach of this Agreement may result in legal action, including but not limited to:

• Permanent injunctions,
• Monetary damages,
• Revocation of access,
• and criminal liability under Indian cyber and IP laws.

7. Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes will be resolved exclusively in the courts of Hyderabad

8. Consent

By accessing or purchasing any report or service from ParaWheel, the User hereby agrees to abide by this NDA in full.
